2. How We Use Your Information No Guarantees Or Earnings Claims
You acknowledge that:
Marketing results vary significantly.
We do not guarantee specific revenue, leads, sales, or performance outcomes.
Any projections, case studies, or examples shared are illustrative only.
Business success depends on numerous factors outside our control, including offer quality, market conditions, budget, competition, and execution.
You agree that 314 Growth is not responsible for your business performance.
3. Client Responsibilities
You agree to:
Provide accurate business information
Ensure all products, claims, and offers comply with applicable laws and regulations
Provide necessary account access (ad platforms, CRM, email systems, etc.)
Maintain sufficient advertising budgets where applicable
Respond promptly to requests for materials and approvals
You are solely responsible for the legality, accuracy, and compliance of your products, services, and marketing claims.
4. Platform & Advertising Disclaimer
We are not responsible for:
Ad account suspensions
Platform bans (Meta, Google, TikTok, etc.)
Changes in advertising policies
Increased ad costs
Algorithm updates
Third-party platform outages
All advertising platforms operate independently and may change policies at any time.
5. Fees & Payments
Fees are outlined in your agreement or invoice.
Unless otherwise agreed:
Payments are due as stated on the invoice
Fees are non-refundable
Late payments may result in suspension of Services
You are responsible for all third-party platform fees (ad spend, software subscriptions, etc.)
Failure to make timely payments may result in termination of Services.
6. Intellectual Property
Unless otherwise agreed in writing:
314 Growth retains ownership of all proprietary frameworks, systems, strategies, templates, and methodologies.
Upon full payment, you receive a non-exclusive license to use deliverables created specifically for your business.
We may showcase non-confidential work in our portfolio unless otherwise agreed.
7. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information shared during the engagement.
Confidential information will not be disclosed except as required by law.
8. Limitation of Liability
To the fullest extent permitted by law:
314 Growth shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, profits, data, or business opportunities.
Our total liability shall not exceed the total fees paid to us in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless 314 Growth from any claims, damages, liabilities, or expenses arising from:
Your products or services
Your marketing claims
Legal or regulatory violations
Chargebacks or customer disputes
Breach of these Terms
10. Termination
Either party may terminate Services pursuant to the applicable agreement.
We reserve the right to suspend or terminate Services if you breach these Terms.
11. Governing Law
These Terms shall be governed by the laws of the jurisdiction in which 314 Growth operates, without regard to conflict of law principles.
12. Updates to These Terms
We may update these Terms at any time. Continued use of our Services constitutes acceptance of the updated Terms.
